New merger tax rules to make it easier for shareholders

The Assistant Treasurer, Senator Nick Sherry, today announced the Government will make it easier for shareholders to defer certain capital gains made during takeovers or when companies merge.

"The Government intends to introduce legislation to reform the tax law as it relates to the requirements for the scrip for scrip roll-over in respect of takeovers and mergers approved under the Corporations Act 2001," the Assistant Treasurer said.

"The scrip for scrip roll‑over is an important measure that ensures capital gains tax (CGT) is not an obstacle to takeovers and mergers."

"The roll-over allows investors who exchange shares in one company for shares in another to defer the realisation of any capital gains from this trade."

"However, as the law stands, the scrip for scrip roll-over may not be available to shareholders even though the takeover or merger has been approved under the Corporations Act 2001."

"The reforms will increase the scope of the scrip for scrip roll-over and allow a simpler and better financial transition for shareholders by deferring capital gains at the point of the takeover or merger."

"This is good news for shareholders, whether they are mum and dad investors or large, institutional investors."

"The changes I am announcing will apply to CGT events that happen on or after today," the Assistant Treasurer said.

The new laws will better align the CGT scrip for scrip roll-over requirements with the Corporations Act 2001, to make it easier for takeovers and mergers regulated by the Act to qualify for the roll‑over.

Carving out takeovers and mergers (including via a scheme of arrangement) that satisfy the member participation and other requirements of the Corporations Act from having to satisfy the member participation requirements of the scrip for scrip roll‑over will ensure the roll‑over operates more effectively.

The scrip for scrip roll‑over is contained in Subdivision 124‑M of the Income Tax Assessment Act 1997 (ITAA 1997). It allows a taxpayer exchanging shares in one company for shares in another company as part of a takeover or merger of the companies to defer the realisation of any capital gains from this exchange. A taxpayer who receives cash in addition to their replacement interests may qualify for a partial roll‑over. Similar relief is also available for taxpayers exchanging interests in a trust for replacement interests in another trust as part of a takeover or merger of the trusts.

A takeover or merger arrangement must satisfy a number of requirements to qualify for the roll‑over. These requirements are contained in subsections 124‑780(2) and 124‑781(2) of the ITAA 1997 and they apply to arrangements involving companies and trusts respectively.

One of the requirements, which concerns member participation, is that all holders of similar voting interests in the target entity must be able to participate in the arrangement on substantially the same terms.

Under these changes, if the original entity in an arrangement is subject to Chapter 6 of the Corporations Act 2001, then that arrangement will not have to satisfy paragraphs 124‑780(2)(b) and (c) or paragraphs 124‑781(2)(b) and (c) of the ITAA 1997 to qualify for the roll‑over. However, the arrangement will still need to satisfy any other relevant conditions for the roll‑over.

  • Chapter 6 of the Corporations Act regulates takeovers. Generally, this Chapter applies to listed companies and managed investment schemes as well as companies and managed investment schemes with more than 50 members.

Alternatively, if the arrangement is a scheme of arrangement within the meaning of section 411 of the Corporations Act 2001 that receives Court approval, then that arrangement will not have to satisfy paragraphs 124‑780(2)(b) and (c) of the ITAA 1997 to qualify for the roll‑over. The arrangement will still need to satisfy any other relevant conditions for the roll‑over.

All other arrangements will continue to be subject to the existing requirements in the scrip for scrip roll‑over.
